§ 1 Scope of Application
These General Terms and Conditions (GTC) apply to all business relationships between OPTEC Endoscopy Systems GmbH, Fichtenweg 3, 66280 Sulzbach, Germany ("Seller") and the customer ("Buyer"). They apply exclusively to entrepreneurs within the meaning of § 14 BGB (German Civil Code). These GTC apply only to the sale of medical devices and accessories for professional use.
§ 2 Conclusion of Contract
All offers by the Seller are non-binding and subject to change. A contract is concluded only upon written order confirmation by the Seller or upon delivery of the goods. The Buyer's own terms and conditions do not apply, even if the Seller does not expressly object to them.
§ 3 Prices and Payment
All prices are net prices in euros, excluding statutory VAT, freight, insurance and customs duties. Payment is due within 30 days of the invoice date without deduction, unless otherwise agreed in writing. In the event of default in payment, default interest at a rate of 9 percentage points above the applicable base interest rate will be charged.
§ 4 Delivery and Transfer of Risk
Delivery periods are non-binding unless expressly confirmed as binding in writing. Partial deliveries are permitted to a reasonable extent. Risk passes to the Buyer upon handover of the goods to the carrier (EXW Incoterms 2020).
§ 5 Retention of Title
The Seller retains title to the delivered goods until full payment of all claims arising from the business relationship. The Buyer is obliged to treat the goods with care and to insure them adequately against fire, water and theft at replacement value.
§ 6 Warranty
The Seller warrants that the goods are free from defects in material and workmanship for a period of 12 months from the date of delivery. In the event of a defect, the Seller shall, at its discretion, repair or replace the defective goods. Further warranty claims are excluded to the extent permitted by law.
§ 7 Liability
The Seller's liability is limited to intent and gross negligence, except in cases of injury to life, body or health. Liability for indirect damages or loss of profit is excluded to the extent permitted by law.
§ 8 Applicable Law and Jurisdiction
The law of the Federal Republic of Germany applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for all disputes is Saarbrücken, Germany.
